Terms of Service

1. Acceptance of these terms

These Terms of Service (the “Terms”) govern access to and use of the iotoms platform — the web console at console.iotoms.com, the iotoms field application, and related services (together, the “Service”). By creating a workspace, subscribing, or using the Service in any way, you agree to these Terms on behalf of yourself and the business you represent.

If you do not agree to these Terms, do not use the Service.

2. The service

iotoms is a distribution management platform: routes, vehicles and customer stores, inventory including catch-weight stock, field sales through an offline-first mobile application, point of sale, procurement, accounting and reporting. We may improve, extend or modify features over time; we will not materially reduce the core functionality of a plan you are paying for without notice.

3. Accounts and workspaces

You are responsible for the accuracy of the information you provide, for the activity that happens under your workspace, and for keeping credentials confidential. Seats and devices must not be shared in ways that circumvent plan limits. You must be legally able to enter contracts to open a workspace.

4. Subscriptions and billing

The Service is sold as a subscription: the Route plan is billed per van per month, and the Fleet plan is billed as a flat monthly amount, at the prices published on iotoms.com at the time of purchase. Prices may change; changes apply from your next billing cycle and never retroactively.

Fees are payable in advance and are non-refundable except where required by law. If an invoice remains unpaid after reasonable notice, we may suspend the workspace until payment is made.

5. Your data

Your business data — customers, products, stock, transactions, ledgers and everything else you record in the Service — belongs to you. We process it only to operate and improve the Service, and we do not sell it or share it with third parties for their marketing.

You can export your data from the Service at any time during an active subscription. After termination we retain workspace data for ninety (90) days so you can reactivate or export, after which it may be permanently deleted.

6. Acceptable use

You agree not to use the Service to break the law, to infringe others’ rights, to send spam, or to store or distribute malicious code. You will not reverse engineer, resell or sublicense the Service except under a written partner agreement, and you will not attempt to probe or disrupt the Service’s security or availability.

7. Availability

We work to keep the Service available around the clock, and the field application is built offline-first so that sales continue when connectivity does not. Planned maintenance is announced in advance where practical. The Service is provided “as is” and we do not guarantee uninterrupted availability.

8. Intellectual property

The Service, its software, design and documentation are and remain the property of iotoms. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own business operations while your subscription is active. Feedback you send us may be used to improve the product without obligation.

9. Termination

You may cancel at any time; the subscription runs to the end of the paid period. We may suspend or terminate a workspace for material breach of these Terms — including non-payment or abuse — after giving notice where reasonable. Sections on data, intellectual property and liability survive termination.

10. Limitation of liability

To the maximum extent permitted by law, iotoms is not liable for indirect, incidental or consequential damages, or for loss of profits, revenue or data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve (12) months before the event giving rise to the claim.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be announced by email or in the console at least fourteen (14) days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
